License Agreement

1. Grant of License

Subject to the terms and conditions of this License Agreement, Konverton grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Konverton service ("Service") for personal or commercial use.

2. License Restrictions

You may NOT:

• Copy, modify, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble the Service
• Remove, alter, or obscure any proprietary notices (copyright, trademark, etc.)
• Rent, lease, lend, sell, sublicense, or transfer the Service
• Use the Service to develop a competing product or service
• Extract or attempt to extract the source code
• Use the Service in any manner that violates applicable laws
• Circumvent any technical limitations or security measures

3. Intellectual Property Rights

All rights, title, and interest in and to the Service, including all intellectual property rights, are and will remain the exclusive property of Konverton. This includes:

• Source code and compiled code
• User interface design and graphics
• Algorithms and business logic
• Documentation and content
• Trademarks, logos, and branding

Nothing in this License grants you any rights to Konverton's trademarks, service marks, or logos.

4. Third-Party Components

The Service may utilize certain third-party software components and libraries. These components are licensed under their respective licenses, which may include open-source licenses.

This License does not alter or supersede the terms of those third-party licenses. You acknowledge that the use of such components does not grant you any rights beyond those explicitly granted in this License Agreement.

Important: While the Service may incorporate third-party components, the Service itself, including its unique implementation, architecture, design, and branding, remains proprietary and protected intellectual property of Konverton.

5. User-Generated Content

You retain all rights to the files you convert using the Service. We claim no ownership or license to your content. Your files are processed entirely client-side and never uploaded to our servers.

6. Updates and Modifications

Konverton may, at its sole discretion:

• Update or modify the Service at any time
• Add or remove features
• Change the technical requirements
• Discontinue the Service entirely

Updates may be automatic and you may not be able to opt-out. Continued use of the Service after updates constitutes acceptance of the updated Service.

7. No Warranty

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.

KONVERTON DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY
• WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES OF NON-INFRINGEMENT
• WARRANTIES OF ACCURACY OR RELIABILITY
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE

You use the Service at your own risk. Konverton does not warrant that the Service will meet your requirements or that any errors will be corrected.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

IN NO EVENT SHALL KONVERTON BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR USE
• COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES
• BUSINESS INTERRUPTION OR LOSS OF BUSINESS OPPORTUNITIES
• CORRUPTION OR LOSS OF DATA OR FILES

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF KONVERTON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY, KONVERTON'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Indemnification

You agree to indemnify and hold harmless Konverton from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Service
• Your violation of this License Agreement
• Your violation of any applicable laws or regulations
• Your infringement of any third-party rights
• Content you process using the Service

10. Termination

This License is effective until terminated. Your rights under this License will terminate automatically without notice if you fail to comply with any term of this License.

Konverton may terminate this License at any time, with or without cause, with or without notice.

Upon termination:

• You must cease all use of the Service
• You must destroy all copies of any downloaded materials (if applicable)
• All provisions that by their nature should survive termination shall survive

11. Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to a Canadian government embargo or designated as a "terrorist supporting" country.

12. Governing Law

This License Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any legal action or proceeding arising under this License shall be brought exclusively in the courts of Ontario, Canada.

13. Entire Agreement

This License Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Konverton regarding the Service and supersedes all prior agreements.

14. Severability

If any provision of this License is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. No Waiver

Konverton's failure to enforce any right or provision of this License shall not constitute a waiver of such right or provision.

16. Assignment

You may not assign or transfer this License or any of your rights or obligations hereunder without Konverton's prior written consent. Konverton may assign this License without restriction.
