By accessing or using Konverton ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Konverton, operated from Ontario, Canada. These Terms are governed by the laws of Ontario and the federal laws of Canada applicable therein.

2. Description of Service

Konverton is a free, client-side media file conversion service supporting both audio and image file conversions. All file processing occurs entirely within your web browser using proprietary client-side technology. Your files never leave your device and are not uploaded to our servers.

3. User Responsibilities

You agree to:

• Use the Service only for lawful purposes
• Not convert files containing illegal, harmful, or copyright-infringing content
• Not attempt to circumvent rate limits or abuse the Service
• Not reverse engineer, decompile, or disassemble any aspect of the Service
• Not use automated tools (bots, scrapers) to access the Service without permission
• Not interfere with or disrupt the Service or servers
• Comply with all applicable local, provincial, national, and international laws

4. Intellectual Property Rights

Your Content: You retain all rights to the files you convert. We do not claim any ownership or rights to your files.

Our Content: The Service, including its design, code, features, and functionality, is owned by Konverton and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

5. Privacy and Data

Your files are processed entirely in your browser and never uploaded to our servers. Please review our Privacy Policy for details on how we handle limited usage data.

You are responsible for maintaining the security of your device and any files you choose to convert using the Service.

6. Service Availability and Modifications

No Guarantee: We provide the Service on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

Modifications: We reserve the right to:

• Modify or discontinue the Service at any time without notice
• Change these Terms at any time by posting updated Terms on this page
• Limit or restrict access to the Service for any reason

7. Rate Limits and Fair Use

To ensure service quality for all users, we implement rate limits. We reserve the right to:

• Limit the number of conversions per user per day
• Temporarily or permanently ban users who abuse the Service
• Modify rate limits at our discretion

8. Disclaimers and Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Limitation of Liability

IN NO EVENT SHALL KONVERTON, ITS OPERATORS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• ANY LOSS OF PROFITS, REVENUE, DATA, OR USE
• ANY CORRUPTION, LOSS, OR DAMAGE TO FILES OR DATA
• ANY SECURITY BREACHES OR UNAUTHORIZED ACCESS TO YOUR DEVICE
• ANY ERRORS, BUGS, OR INTERRUPTIONS IN THE SERVICE
• ANY DAMAGES RESULTING FROM THIRD-PARTY SERVICES OR CONTENT

THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Konverton and its operators, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Any content you convert using the Service

While we do not host or access your files, if you believe that any content accessible through our Service infringes your copyright, please contact us at:

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including:

• Breach of these Terms
• Illegal or harmful activity
• Excessive use or abuse of the Service
• At our sole discretion

Upon termination, your right to use the Service will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the courts of Ontario, Canada, and you consent to the personal jurisdiction of such courts.

13. Dispute Resolution

Informal Resolution: Before filing any formal claim, you agree to contact us at legal@konverton.com to attempt to resolve the dispute informally.

Arbitration (Optional): If informal resolution fails, disputes may be resolved through binding arbitration under the Arbitration Act, 1991 (Ontario) rather than in court, if both parties agree.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Konverton regarding the Service and supersede all prior agreements and understandings.
